BACKGROUND The electric utility industry in California
is undergoing restructuring. As part of this process, the CPUC has requested that
the California's largest Public Utilities divest at least 50 percent
of their fossil-fuel power plants in order to diversify the future electric market.
Although, San Diego Gas and Electric (SDG&E) was not required to divest 50 percent of their
fossil fueled plants, the Company filed an application (A.97-12-039) to divest
its fossil fueled assets in December of 1997. The CPUC later directed SDG&E to divest its fossil-fueled power plants as a condition of approval of the merger of SDG&E's parent company, Enova, with Pacific Enterprises to form Sempra Energy (A.96-10-038). |

SDG&E and the Port of San Diego Reach Tentative Agreement on Sale of South Bay Power Plant. On September 17, 1998, SDG&E announced that a Memorandum of Understanding was signed between SDG&E and the San Diego Unified Port District about the tentative sale of SDG&E's South Bay Power Plant to the Port.
