Summary: On September 2, 1997, Joseph DeUlloa, attorney for the Office of Ratepayer Advocates (ORA) sent a letter (attached to notice) to Cmmrs. Conlon, Bilas, Duque, Knight, and Neeper. The letter was also sent to ALJ Patrick. The letter states support for the safeguards imposed by the Commission to prevent PG&E from discounting competitive transition costs. The letter also states that ORA supports the change made at the policy level to reject PG&E's and AECA's broad interpretation proposal, but stated that the revised decision should go one step further and determine anew, using the narrow interpretation of PU Code section 378 to determine if PG&E's proposal's meet the conditions set forth in section 378. The letter stated ORA's belief that PG&E has not demonstrated on the record that its remaining proposals satisfy the requirements of section 378. Lastly, the letter stated ORA's concern regarding the marginal cost discussion in the revised decision. Summary: On August 27, 1997, Kristel Frank, Director of Regulatory Relations for Pacific Gas and Electric Company (PG&E) met with John Scadding, advisor to Cmmr. Conlon, in San Francisco. Frank also met with, on separate occasions, James Hendry, advisor to Cmmr. Conlon; Julie Halligan, advisor to Cmmr. Bilas; and Dorothy Duda, advisor to Cmmr. Knight. Also present at the meetings was Joe Malkin, attorney for PG&E. No written materials were used. Frank stated that PG&E is concerned with the new language in the draft interim opinion issued by the Commission on 8/25/97. Frank stated that the market power evaluation is arbitrary and creates unintended consequences that will undermine the commercial auction process. Malkin stated that the condition that the Commission assert oversight over future property transfers also will be viewed adversely by potential buyers and will likely affect the financial value of the plants. He further stated that continuing oversight is unneeded because protections exist under current law. Frank also stated that PG&E needs the ability to accept preliminary bids, otherwise that auction cannot be completed by the end of the year. Malkin stated that PG&E's preliminary bids are non-binding, and that PG&E is selling all of the generation related properties at the plants. Malkin further stated that OG&E is only retaining those properties associated with switchyards or transmission properties as described in the record. Frank also stated that PG&E will not be selling its Humboldt Bay Power Plant, which means that PG&E is divesting only 98 percent of its total fossil generation. Summary: LATE FILED. On August 26, 1997, Nettie Hoge, Executive Director for The Utility Reform Network (TURN), met with Michelle Cooke, advisor for Cmmr. Duque, in San Francisco. Robert Finkelstein, staff attorney for TURN, was also present. A copy of document (attached to the notice) entitled "The Interim Order is Inconsistent with the Promise of AB 1890" was provided to Cooke. Hoge stated that TURN views that it is simply a bad idea for consumers to incur long-term debt in order to achieve short-term benefits. Hoge stated that TURN was dissatisfied with the legislature's failure to address the fundamental problems with the bond financing transaction during the deliberations on SB 477. Hoge stated that TURN had heard rumors that Senator Peace was interested in preventing the disclosure of the Fixed Transition Amount (FTA) as a separate line item on consumer's bills in order to avoid having to explain why the FTA exceeded the amount of financed rate reduction, at least in the first few years of the rate reduction period. Finkelstein stated that under AB 1890, each interest group received significant direct benefits, save small consumers. Finkelstein stated that the draft decision would allow the utilities to completely backslide on that benefit, as the "no less that 10%" would be replaced by "no more than whatever amount can be financed, up to 10%." Finkelstein stated that that there was simply no way to read the relevant portions of AB 1890 as supporting such an interpretation. Finkelstein stated that that TURN believes that the draft decision reflects a misreading of the statue and of the Commission's decision implementing the statute. Hoge stated TURN's opposition to the bonds, as well as TURN's dissatisfaction with the Legislature's failure to address the fundamental problems with the bond financing transaction during the deliberations on SB 477. Hoge stated that TURN had heard that Senator Steve Peace was interested in preventing the disclosure of the Fixed Transaction Amount (FTA) as a separate line item on consumers' bills in order to avoid having to explain why the FTA exceeded the amount of financed rate reduction, at least in the first few years of the rate reduction period. Lastly, Hoge expressed TURN's concern that the advice letter process outlined in the Draft Decision could serve to allow dramatic restructurings of the proposed transactions without any opportunity for meaningful input from other parties, or review by the Commission. Finkelstein stated that Section 841(a) of the statute assigned to the Commission the task of determining whether there was sufficient ratepayer benefit to warrant approving the financing orders and that the Commission should not render that assignment a meaningless one. Finkelstein further stated that under the logic of the draft decision, if in the absence of a rate reduction of no less than 10% the utilities would not be able to recover their uneconomic costs, the proper comparison would be a financed rate reduction, which would be a rate reduction of approximately 35%. Summary: On August 28, 1997, Michael B. Day, counsel for Enron Corporation (Enron) met with Cmmr. Neeper in San Francisco. David Gamson, advisor for Cmmr. Neeper, and Michelle Cooke, advisor for Cmmr. Duque, were also present. Day stated that Enron believes that the rulings of ALJ Barnett are undermined by legal error, specifically the failure to appropriately balance the prejudice that disclosure of confidential business plans would cause to Enron against the minimal probative value of such evidence in the case. Day stated that under the precedents cited by the ALJ, there was no reason to deny a request to withdraw from the proceeding. Day stated that Enron did not seek to delay the merger proceeding or to be in the posture of disobeying a Commission ruling and would promptly pursue all avenues of appeal open to it in an effort to avoid further confrontation over the disclosure of the documents at issue.
