Summary: On December 1, 1997, Les Guliasi, Manager, Regulatory Relations Pacific Gas and Electric Company (PG&E), met with Cmmr. Conlon, in San Francisco. Also present were: James Hendry, advisor to Cmmr. Conlon; Kent Harvey, Senior Vice President, Treasurer and Chief Financial Officer, and Richard Patterson, Director, Financial Planning and Analysis. Harvey stated PG&E's general support for the proposed decision and that the proposed 11.4 percent ROE for PG&E, although fair, is at the lower-end of a reasonable range, and lower than the ROE levels for other utilities. Harvey stated that recent declines in interest rates do not require the lowering of PG&E's ROE. Harvey stated that the proceeding establishes the ROE on PG&E's distribution assets only, and that while arguably there has been a decrease in risk associated with PG&E's generation assets, the same is not true of PG&E's distribution assets. Harvey stated that the Commission's interest in unbundling distribution services may increase competition and introduce greater uncertainty and risk in the gas and electric distribution business. Summary: On November 26, 1997, James L. Lewis, Regional Executive for MCI Telecommunications Corporation (MCI) met with Cmmr. Knight in San Francisco. Eric Artman, Assistant Vice President of Regulatory Affairs for WorldCom, Inc., and Robert Lane, adv. To Cmmr. Knight were also present. Lewis and Artman requested that the Commission to process WorldCom, Inc.'s pending application with an amendment to reflect the fact that, since the filing of the application, MCI's Board of Directors has voted to accept WorldCom's offer to merge. Artman indicated that the amendment would reflect the fact that both MCI and WorldCom would be petitioners, and would show a new offering price and listing of executive officers. Both Artman and Lewis indicated that no purpose would be served by requiring WorldCom to withdraw the existing application, and then re-file, since the interest of parties to protest or intervene could be accommodated once the amendment is filed. Knight and Eric Artman, Assistant Vice President for Regulatory Affairs for Worldcom, Inc. were also present. Lewis explained that the current interim rates in effect for non recurring charges for unbundled network elements represented a significant barrier to entry for competitive local exchange carriers in California. He said that in the very near future MCI would file a motion seeking the establishment of new interim prices. Summary: On December 2, 1997, John Leslie, attorney for Enserch Energy Services (EES), met with Julie Halligan, advisor to Cmmr. Bilas, via telephone. Leslie stated that EES, Pacific Gas and Electric Company (PG&E), and other interested parties in the proceeding have been working to develop an alternative approach respecting the allocation of PG&E's upstream Canadian pipeline capacity (on ANG and NOVA) to core aggregation customers and their aggregators. Leslie stated that EES anticipates that sometime after the Commission approves PG&E's application in this proceeding, the parties may be able to submit a petition for modification in which they present an agreed upon approach for the assignment of unbundled ANG and NOVA capacity to core aggregators, Leslie asked whether it would be possible for the Commission to include, in the decision to be acted on at the 12/3 meeting, a statement that notes that a petition for modification on ANG/NOVA capacity assignment may be forthcoming. Thayer, representatives of the Interim Committee for the California High cost Fund-A (CHCF-A), California High Cost Fund-B (CHCF- B), and the California Teleconnect Fund (CTF) met with Cmmr. Knight and his adv. Robert Lane in San Francisco. Also present were ALJ Kenney, Pam Nataloni of the Legal Division, Angela Young, Brian Roberts, Hassan Mirza, Zenaida Tapawan- Conway, of the Telecommunications Division. A written handout (attached) was distributed setting forth the points to be discussed. The discussion focused on a summary of the Motion of the Interim Committee submitted October 25, 1997 recommending that the Commission directs the Interim Committee to request private letter rulings from the IRS granting tax exempt status for CHCF-B and the CTF. The discussion then focused upon the need to show that the Commission has complete control over the funds in all respects and that the Commission is an "Integral part of the State". Therefore, it was recommended that the Charter and Trust agreements be executed by the Commission. The discussion then turned to the adoption of an investment policy for the funds and the possibility of legislation to provide for deposit of the trust funds with the State Controller subject to disbursement in compliance with Commission direction. The meeting concluded with a discussion of request by the Interim Committee requesting a Commission Resolution authorizing transfer of CHCF-A from Pacific Bell to the Interim Committee. Summary: On December 1, 1997, Claudine Swartz, Regulatory Representative for Southern California Gas Company (SoCalGas), met with David Gamson, adv. to Cmmr. Neeper at the Tavern on the Tenderloin in San Francisco. Swartz stated that a twelve month program budget, in addition to the proposed nine month program budget, should be included in the final decision. Swartz stated that SoCalGas' buyout proposal of PY year 94-97 earnings eliminates overhanging DSM commitments and will require no additional rate recovery as it will utilize previously collected DSM funds. In addition, Swartz noted that ratepayers will save money as SoCalGas' proposal reduces earnings to 75 percent of the approved amount. Swartz also stated that a cap on program earnings for 1998 is not appropriate as SoCalGas is not drawing from a finite pool of Public Good Surcharge funds.
