GLOSSARY After January 1, 1998, the California Public Utilities Commission is required by statute (SB 960) to categorize each case that comes before it. There are three categories, quasi- legislative, adjudicatory and ratesetting. If a case does not require hearings before it is resolved, the case is removed from the SB 960 category requirements. The legend below shows the abbreviation for each of the categories and provides a brief explanation. Q Quasi-legislative proceedings are proceedings that establish policy or rules (including generic ratemaking policy or rules) affecting a class of regulated entities, including those proceedings in which the Commission investigates rates or practices for an entire regulated industry or class of entities within the industry. A Adjudicatory proceedings are: (1) enforcement investigations into possible violations of any provision of statutory law or order or rule of the Commission; and (2) complaints against regulated entities, including those complaints that challenge the accuracy of a bill, but excluding those complaints that challenge the reasonableness of rates or charges, past, present, or future. RS Ratesetting proceedings are proceedings in which the Commission sets or investigates rates for a specifically named utility (or utilities), or establishes a mechanism that in turn sets the rates for a specifically named utility (or utilities). Ratesetting proceedings include complaints that challenge the reasonableness of rates or charges, past, present, or future. N/A Removed from the SB 960 category requirements. Summary: On March 13, 1998, Frederick John, Senior Vice President of Public Policy and Law for Pacific Enterprises met with Cmmr. Conlon in San Francisco. Also present were: Hallie Yacknin and Dave Fukutome for The Office of Rate payer Advocates; Thomas Brill, attorney for PE; Brian Cherry, Regulatory Proceedings Manager for Southern California Gas Company (SoCalGas); Lisa Hubbard, State Regulatory Affairs Director for San Diego Gas and Electric Company (SDG&E); Phyllis Huckabee, State Regulatory Relations Director for SoCalGas; Lee Schavrien, Regulatory Affairs Director for SDG&E; William Reed, Vice President of Regulatory and Governmental Affairs for Enova Corporation; Doug Porter and Steve Pickett for Southern California Edison Company; Theresa Mueller for The Utility Reform Network; Susanne Stamey for Southern California Utility Power Pool; John Coyle, for Imperial Irrigation District; Joe Karp, for California Cogeneration Council and Watson Cogeneration and Mike Day for Kern River. John stated that SoCalGas holds approximately 1,150MMcf/d of capacity to the core, with total capacity commitments of 1,150MMcf/d on EL Paso and 300 MMcf/d on Transwestern. John added that divestiture of SDG&E's generators, SDG&E will have only 125-200 MMcf/d of demand. John stated that availability of storage and pipeline capacity is posted and available to all parties on an equal basis. Reed stated that it is unlikely that SoCalGas will be able to manipulate the Power Exchange (PX) price. Brill stated that Applicants testimony showed that attempts to manipulate prices would be to the detriment of shareholders because gains from electric sales would be far less than losses on gas transportation. Filer: Pacific Enterprises and Enova Corporation Contact: Artemis Manos Phone: (213) 895-5236 Summary: On March 13, 1998, Frederick John, Senior Vice President of Public Policy and Law foe Pacific Enterprises (PE), met with Cmmr. Duque, in San Francisco. Also present were: Michelle Cooke, advisor to Cmmr. Duque; William Reed, Vice President of Regulatory and Governmental Affairs for Enova Corporation (Enova); and other parties as listed on the attached sign-in sheet. John stated that the Applicants are pleased that the Proposed Decision (PD) properly concludes the merger is in the public interest. John stated that Applicants are concerned with the proposed five-year merger savings period contained in the PD and support the ten-year savings mechanism proposed in Cmmr. Neeper's Alternate. John stated that the forced relinquishment of the Kern/Mojave option as presented in the PD is not appropriate. John urged the Commission to draw a distinction between reasonable mitigation measures, addressed by the by the Attorney General's office, the Department of Justice, and the Federal Energy Commission (FERC) and efforts by competitors to disadvantage the merged company so that it will be unable to compete. Reed stated that Applicants agree with the presumed 50/50 level of sharing in the PD, but that the five-year savings period could easily result in only 15 percent of the savings going to shareholders. Brill stated that antitrust laws are intended to protect competition, not competitors. Brill stated that the merged entity does not create opportunities for market abuse and that no parties have raised issues regarding market power that arise from this merger. Brill stated that after divestiture of San Diego Gas & Electric's (SDG&E) generating facilities, SDG&E will have only 125-200 MMcf/d of demand, which will be contestable load, and under such circumstances, sale of the Kern River / Mojave options is simply not an appropriate condition to be adopted in this proceeding. Brill stated that if the Commission nonetheless requires such a sale, it must do so only under the condition that Kern and Mojave agree to waive the right they would otherwise have to consent to such a sale, and to the extent a sale to a third party cannot be consummated, and Southern California Gas Company and Kern are unable to reach an agreement on the issue of value in negotiations over a relinquishment to the pipeline, that Kern and Mojave agree to submit to binding arbitration for the purposes of determining the value for such a relinquishment. Written materials (attached to the notice) were used. Calpine expressed support for the conclusion in the assigned Commissioner's ruling of March 12, 1998, that Calpine's claims against PG&E for breach of the steam supply agreement for the Lake County geothermal units should be resolved in the litigation pending in the court. Calpine representatives also supported the ruling's requirement that PG&E fully disclose the Calpine litigation to potential bidders. Calpine addressed PG&E's obligation regarding confidentiality provisions of the steam supply agreement. Malkin stated that Calpine has filed a lawsuit regarding the assignability of the steam contract and that Calpine has an incentive to take a position that could adversely effect the auction. Malkin explained that PG&E's position is that the contract is assignable, and that the Commission can and should assert jurisdiction and resolve the issue. Malkin noted that any legal action will be disclosed to the potential bidders. Malkin stated further that the steam price is based on a mix of nuclear and fossil- fueled generation and that if PG&E were not selling the plant, the fuel price would be based on PG&E's remaining plants, and therefore the contract is workable. Bilas, in San Francisco. Also present were: other parties as shown on the attached sign-in sheet. Pederson stated that SCUPP supports a five-year period for sharing savings and amortizing costs to achieve. Pederson stated that regarding the relationship between this proceeding and R98-01-011, SCUPP supports the view of LADWP General Manager David Freeman that the Commission should take action in this proceeding to address market power concerns and should not defer the issues to R98-01-011. Pederson stated that regarding Line 6900, SCUPP urges the Commission to decide the issue now insofar as the issue was specifically assigned to this proceeding by the CPUC's decision in the last Southern California Gas Company (SoCalGas) Biennial Cost Allocation Proceeding. Pederson stated that the Commission should decide that Line 6900 costs should be included in the San Diego Gas & Electric Company (SDG&E) resource plan rather than the SoCalGas resource plan. Pederson stated that regarding the SoCalGas option to acquire the intrastate facilities of Kern River Gas Transmission Company (Kern River), SCUPP believes that rather than having the option "divested" through a sale with revenues "inuring to the benefit of SoCalGas." The option should be relinquished without compensation to SoCalGas. Pederson stated that the relinquishment should be specifically to Kern River and Mojave rather than to a third party that might be inclined to thwart competition. Pederson stated that regarding application of the affiliate transaction rules to the relationship between one regulated utility (SoCalGas) and an affiliated regulated utility (SDG&E), SCUPP believes that the Proposed Decision should be revised so as to reject the applicant's request for a blanket exemption. Pederson stated that instead, the applicants should be required to show on a case-by-case, rule-by-rule basis the need for any exemptions, consistent with D97-12-088. Also present were: David Gamson, advisor to Cmmr; Neeper; Steve Pickett, counsel, and Doug Porter, counsel , for Edison. Representatives for Edison stated that the Proposed Decision fails to adequately address the competition issues and mitigate the merged companies' market power. Representatives for Edison stated that they urge the Commission to order a Gas Independent System Operator to run the intrastate transportation and storage system or put said facilities in a trust until the Commission addresses the issue in the Gas Strategy Rulemaking proceeding.
