GLOSSARY After January 1, 1998, the California Public Utilities Commission is required by statute (SB 960) to categorize each case that comes before it. There are three categories, quasi- legislative, adjudicatory and ratesetting. If a case does not require hearings before it is resolved, the case is removed from the SB 960 category requirements. The legend below shows the abbreviation for each of the categories and provides a brief explanation. Q Quasi-legislative proceedings are proceedings that establish policy or rules (including generic ratemaking policy or rules) affecting a class of regulated entities, including those proceedings in which the Commission investigates rates or practices for an entire regulated industry or class of entities within the industry. A Adjudicatory proceedings are: (1) enforcement investigations into possible violations of any provision of statutory law or order or rule of the Commission; and (2) complaints against regulated entities, including those complaints that challenge the accuracy of a bill, but excluding those complaints that challenge the reasonableness of rates or charges, past, present, or future. RS Ratesetting proceedings are proceedings in which the Commission sets or investigates rates for a specifically named utility (or utilities), or establishes a mechanism that in turn sets the rates for a specifically named utility (or utilities). Ratesetting proceedings include complaints that challenge the reasonableness of rates or charges, past, present, or future. N/A Removed from the SB 960 category requirements. Summary: On March 13, 1998, Susanne Stamey, attorney for the Southern California Utility Power Pool (SCUPP), participated in an all-party meeting with Cmmr. Duque in San Francisco. A list of other participants is attached to the notice. Stamey stated that SCUPP supports The Utility Reform Network (TURN) and Office of Ratepayer Advocates' (ORA) argument in support of a five-year sharing period as well as their opposition to the alternate with respect to a 10-year sharing period. Stamey also stated that California Cogeneration Council (CCC) and Southern California Gas Company's (SoCalGas) settlement with respect to the establishment of a single EG rate should not be addressed in this proceeding. Stamey urged the Commission to order SoCalGas to relinquish without compensation its option to purchase Kern River and Mojave facilities, because a benefit of such a sale would go to shareholders, and because it may increase the cost of transmission-on-transmission competition. Stamey also asked the Commission to order SoCalGas to provide for 400 MMcfd of undivided interest in its capacity. Finally, Stamey explained the reasons why including Line 6900 and Line 6902 expansions in SoCalGas' Resource Plan is unreasonable. Summary: On March 18, 1998, Hallie Yacknin, counsel for the Office of Ratepayer Advocates (ORA), met with Cmmr. Bilas, in San Francisco. Also present were: Julie Halligan, and John Scadding, advisors to Cmmr. Bilas; and other persons as listed on the attached sign-in sheet. Yacknin stated that if the Commission is going to consider a gas independent system operator or divestiture or other gas-related measures to mitigate market power concerns caused by the merger, then it needs to address those in this proceeding. Yacknin stated that the issue cannot be deferred to the gas industry framework proceeding because the cost of implementing such mitigation measures impacts the net benefits of the merger. Yacknin stated that ORA supports the Proposed Decision (PD) on the issue of how much merger savings should be allocated to shareholders. Yacknin stated that Applicants' statement that the regulated merger benefits ramp up over time does not justify calculation of the allocation to shareholders over a 10-year sharing period. Yacknin stated that the bulk of the merger savings will be implemented in the first 3 years following the merger and will be largely completed by the end of the fourth year and that "merger savings" calculated in years 6 through 10 reflect the inflationary, future value of past savings. Yacknin stated that the purpose of an award under PU Code Section 854(b)(2) is to provide an incentive to shareholders to undertake cost-effective merger, thus the appropriate legal standard for determining what constitutes an equitable allocation of regulated merger savings is whether the return to shareholders on their investment is commensurate with the4 risk they will be undertaking n this merger and not how we can maximize the award of regulated savings to shareholders. Yacknin stated that in addition to reduced investor risk, the record evidence demonstrates that shareholders will also stand to gain an enormous return from future earnings of the merged company's unregulated businesses. Yacknin stated that the reduced investment risk, the enormous future earnings, and the $160 million in regulated merger savings that would be awarded under the PD is reasonably sufficient to encourage the shareholders to undertake the merger. Representatives for Kern urged the Commission to support a change to the proposed decision in A96-10-038. Which would accelerate the timing of a forced sale of the option held by Southern California Gas Company (SoCalGas) to purchase Kern facilities in the future. Representatives for Kern recommended that the sale be completed within five months of a final decision in the merger case, after a two month period of time for Kern and Mojave Pipeline Company, the other similarly affected pipeline, to negotiate directly with SoCalGas.
