GLOSSARY After January 1, 1998, the California Public Utilities Commission is required by statute (SB 960) to categorize each case that comes before it. There are three categories, quasi- legislative, adjudicatory and ratesetting. If a case does not require hearings before it is resolved, the case is removed from the SB 960 category requirements. The legend below shows the abbreviation for each of the categories and provides a brief explanation. Q Quasi-legislative proceedings are proceedings that establish policy or rules (including generic ratemaking policy or rules) affecting a class of regulated entities, including those proceedings in which the Commission investigates rates or practices for an entire regulated industry or class of entities within the industry. A Adjudicatory proceedings are: (1) enforcement investigations into possible violations of any provision of statutory law or order or rule of the Commission; and (2) complaints against regulated entities, including those complaints that challenge the accuracy of a bill, but excluding those complaints that challenge the reasonableness of rates or charges, past, present, or future. RS Ratesetting proceedings are proceedings in which the Commission sets or investigates rates for a specifically named utility (or utilities), or establishes a mechanism that in turn sets the rates for a specifically named utility (or utilities). Ratesetting proceedings include complaints that challenge the reasonableness of rates or charges, past, present, or future. N/A Removed from the SB 960 category requirements. Summary: On May 26, 1998, Roger Montgomery, Director/Rates and State Regulatory Affairs, for Southwest Gas Corporation (Southwest), met with Conlon in San Francisco. Also present were: James Hendry, advisor to Cmmr. Conlon; Terry Mowrey and Patrick Gileau, of the Office of Ratepayer Advocates; and Edward Zub, Senior Vice President/Regulation and Product Pricing, James Kane, Senior Vice President/Operations, Thomas Sheets, vice-president/General Counsel; Robert Johnson, Assistant General Counsel, and Stanley Hulett, of Southwest. A copy of the Southwest's letter (attached to the notice) to Wesley Franklin, outlining its legal concerns, was used. Sheet described the untenable legal position Southwest finds itself in maintaining its position regarding the settlement agreement it entered into with ORA, while at the same time being requested to respond to unsupported assertions that are outside the record in this proceeding. Representatives of Southwest also advised the Commission that, contrary to information being provided to the Commission, the Town of Truckee and its citizens had been "kept in the loop" regarding the application and the settlement agreement, and the town had an opportunity to formally participate in this proceeding, but elected not to do so. Written materials (attached to the notice) were used. The WGSI representatives urged the modification of the proposed decision on WGSI's petition for modification. Specifically, the WGSI representatives sought elimination of the requirement that WGSI provide, upon request of the staff, cost-based justification for minimum storage rates. In addition, the WGSI representatives stated that the decision should not prejudge the cost allocation of future transmission pipeline capacity expansions, and that WGSI preferred that the Commission take no position on such issues until the actual expansion project was contemplated. Also present were: Julie Halligan, advisor to Cmmr. Bilas; and Steven Greenwald, attorney for Thermo. Thermo representatives stated that after the deadline for filing responsive pleadings, Thermo learned, for the first time, that the 50-acre parcel Edison is seeking authority to sell is the exact location of the gas-fired electric generating facilities associated with Edison's Cool Water Coal Gasification Project. Thermo's representatives explained that Thermo has the right to purchase these generating facilities and would have participated had Edison provide notice that the parcel was the site of the coal gasification electric generation facilities. Knight; Susan Mara, Regulatory Director, and Michael Day, counsel, for Enron. The Enron representatives indicated that the continuing delay in achieving a final resolution of the competitive transition cost (CTC) calculation issue was creating uncertainty in the marketplace and making it difficult for customers and energy service providers to anticipate what CTC would be assigned to any given customer. Enron's representatives urged the Commission to reach a final decision on the matter as soon as possible and indicated Enron's support for the compromise solution adopted in D97-08-056. Conlon in San Francisco. Also present were: James Hendry, advisor to Cmmr. Conlon; Jana Corey, Director, Regulatory Relations, David Rubin, Manager, Service Analysis, for PG&E; Glen Sullivan, Attorney, and Claudine Swartz, State Regulatory Affairs, Southern California Gas Company; Bruce Foster, Vice President, Regulatory Affairs, and Mike Hoover, Manager, Regulatory Policy and Affairs, Southern California Edison Company; and Scott Steffen, Assistant General Counsel, and Chris Mayer, Assistant General Manager, Modesto Irrigation District (MID). Guliasi stated that PG&E is not willing to go forward with the settlement and sale of facilities to MID. Guliasi pointed out that the alternate order has changed the balance of gives and takes negotiated by PG&E with MID, and is financially detrimental to PG&E's shareholders. Mayer stated that PG&E and MID modeled the agreement on Public Utilities Code Section 8101 that discourages duplication of facilities. Mayer noted that the existing service area agreement is one-way, with MID being allowed to compete in PG&E's service territory and PG&E being precluded from competing in MID's service territory. Further, Mayer noted that the customers in the communities that will be served by MID upon completion of the sale by PG&E will receive a 30 percent rate reduction. Guliasi stated that there is no relationship between the discounting on retail tariffs and the gain on sale, and thus should not be linked in the decision. Rubin added that shareholders receive the gain or bear the loss on sale resulting in a symmetrical mechanism. Rubin pointed out that that is not true of the discounting mechanism where the shareholders have no upside potential, and only downside financial risk. Filer: Pacific Gas and Electric Company & Modesto Irrigation District Contact: Heidi Holzhauer Phone: (415) 972-5611 Summary: On June 1, 1998, Hallie Yacknin, Staff Counsel for the Office of Ratepayer Advocates (ORA), met with Cmmr. Conlon in San Francisco. Also present were: James Hendry, advisor to Cmmr. Conlon; and Robert Kinosian, Project Manager for ORA. ORA representatives stated that the alternate comprehensively clarifies the legal distinction between Redding II and the instant case; it does not overturn it. ORA stated further that, although the alternate does not adopt ORA's recommended allocation of the gain on sale, its proposed allocation is supported by the record. ORA pointed out that it does not oppose the transfer and that nothing suggests that the Legislature requires that such transfer be accompanied by a profit to be gained by Pacific Gas and Electric Company (PG&E) or by a ban on distribution competition. ORA explained that PG&E's claim that the $34 million payment to Modest Irrigation District (MID) under the service area agreement was to settle litigation is nonsensical. ORA stated that under that agreement, MID is required to refund up to $24 million to PG&E if the anti- competitive exclusive service area provision is rejected, which indicates that $24 million of the $34 million payment is not to settle any litigation, but rather to entice MID to agree not to compete with PG&E for distribution in most of Northern California for 25 years. ORA contended that there is no ratepayer interest in making this payment to MID. ORA noted that, if PG&E and MID were to proceed under the alternate, PG&E would still make a profit of over $3 million after recovering its investment in the transferred facilities. Written materials (attached to the notice) were used. Guliasi pointed out that the alternate order has changed the balance of gives and takes negotiated by PG&E with MID, and is financially detrimental to PG&E's shareholders. Guliasi stated that without the gain on sale being allocated to shareholders, the transaction is not acceptable to PG&E. Steffen stated that the Redding II decision was the subject of a rulemaking and thus requires a rulemaking to reconsider changed circumstances. Guliasi stated that there is no relationship between the discounting on retail tariffs and the gain on sale, and thus should not be linked in the decision. Corey pointed out that the alternate order has changed the balance of gives and takes negotiated by PG&E with MID, and is financially detrimental to PG&E's shareholders. Rubin stted that the net gain on sale is only $2.7 million. Guliasi stated that the gain on sale would need to go to shareholders to make the transaction acceptable to PG&E. Mayer stated that PG&E and MID modeled the agreement on Public Utilities Code section 2101, which discourages duplication of facilities. Mayer noted that the existing service area agreement is one-way, with MID being allowed to compete in PG&E's service territory but PG&E being precluded from competing in MID's service territory. Guliasi represented that PG&E would need the gain on sale to be allocated to shareholders to make the transaction acceptable. Bilas in two separate meetings. Also present was Sarah Smith, Regulatory Affairs Representative for Edison. In the meeting with Cmmr. Bilas also participated Julie Halligan, advisor to Cmmr. Bilas. Referring to a pending Resolution E-3538, the Edison representatives informed the Commission that the draft Resolution's treatment of the jurisdictional allocation factor would unfairly penalize Edison for renegotiating its contracts with its former Resale City (Public Power Agency) customers. The Edison representatives stated further that the jurisdictional allocation factor adopted in Edison's 1995 general rat case is no longer valid in that it no longer reflects the fact that Edison's sales are now almost entirely to Commission jurisdictional customers. Kehrein discussed the difficulties power marketers fact if the proposed decision (PD) is adopted, allowing Pacific Gas and Electric Company to issue advance lump sum checks for revenue cycle services directly to end-use customers instead of the agreed upon display of credits on end-user bills. Squeri mentioned the interference with commercial contracts the PD would cause if adopted. Rostker stressed the need to honor the intent of the Commission to display credits on bills and not permit variation in compliance with final orders absent a compelling showing on the record of emergency need for exemption.
