Summary: On March 15, 1999 Kristel Frank of Pacific Gas & Electric Co. (“PG&E”) initiated oral and written ex parte communications at a CPUC meeting with Commissioner Neeper and his advisor, David Gamson. Leslie Everett and Joseph Malkin of PG&E accompanied Ms Frank. Ms Everett stated that the environmental ratemaking treatment in the proposed decision (“PD”) differs from prior Commission decisions. She said the treatment was first proposed in the Wave I sale to Duke and approved at that time, and that a similar treatment was recently approved for the sale of the SDG&E plants. D.98-07-092 adopted the treatment, she said, and that no party protested it in either in this case or PG&E’s Wave I divestiture proceeding. Mr. Malkin stated that since PG&E is retaining the environmental remediation associated with these facilities in perpetuity, PG&E will be required to perform that remediation to the satisfaction of the appropriate agencies, even if standards change from current levels. Ms Frank concluded by saying that PG&E’s cost estimates for environmental remediation are based on net present value estimates consistent with the Competition Transition Charge decision 97-11-074. The written communications consisted of a 3/15/99 PG&E letter addressed to the commissioners, copies of which were indicated to be“cc” to PUC advisors and the A98-01-008 Service List. The letter expresses the view that the draft decision improperly introduces a new ratemaking methodology, that it should be modified, and that any delay beyond April 1 could impair PG&E’s ability to transfer the power plant assets in question. Summary: On March 18, 1999 Pacific Gas & Electric Co.’s (“PG&E”) Sabrina Miller sent a one (1) page E-Mail and seven (7) page facsimile to Davidson Gamson, advisor to Commissioner Neeper. The E-Mail was sent to explain the fax. The fax includes “Exhibit 35” and a “Transcript Excerpt” from the proceeding. The first paragraph of the E-Mail states: “Dave, in response to your question as to what is on the record to substantiate PG&E’s assertions that the Presidio probably would not have undertaken its gas boiler replacement project at the time with the Power Savings Partner contract with PG&E, I am faxing you the following.” Exhibit 35 and the transcript excerpt are then explained. “Exhibit 35” is entitled PG&E’s “1998 Annual Earnings Assessment Proceeding—PG&E Annual Gas Usage for Presidio Central Steam Plant Prior to 1996 Installation of Gas Boiler.” Another statement in the E-Mail was the following: “And what we knew is that the U.S. Army operated the inefficient gas boiler and steam distribution for many years without modification despite the cost-effectiveness of retrofitting them, and we knew of no alternative plans of doing otherwise.” The transcription excerpt contains three (3) pages (pp 65-67) from the 11/13/98 testimony of Sara Birmingham. Summary: On March 16, 1999, James M. Tobin of Morrison & Foerster, LLP, on behalf of Pac-West Telecomm, Inc. (“Pac-West”) wrote a letter to Administrative Law Judge Mattson. The letter cites a Pacific Bell (“PacBell”) letter written earlier to the ALJ in which PacBell was quoted to have said they were enclosing “the complete Interconnection Agreement proposed by Pacific Bell in the above-referenced proceeding.” Mr. Tobin then stated “The purpose of this letter is to point out that the agreement appended to…(the PacBell)…letter does not appear to identify any of the disputed provisions of that agreement, or to include any of language proposed by Pac-West with respect to the disputed portions. Pac-West thought this was a key purpose of the submission. We are meanwhile reviewing the attachment to…(the PacBell)…letter to determine if any other issues exist. I95-02-015 Commission Order Instituting Investigation into rates, charges, service and practices of PG&E. R95-04-043 Rulemaking on the Commission's own motion into competition for local exchange service and I95-04-044 Investigation on the Commission's own motion into competition for local exchange service. Summary: On March 22 and 23, 1999, the Office of Ratepayer Advocates (“ORA”) initiated three (3) ex parte meetings with PUC officials on the same subject matter, and conveyed the same communications in each meeting. ORA acted jointly with the PUC Utilities Safety Branch (“USB”) in these meetings. Participants from ORA were Linda L. Gustafson, Ray Valitas, and Andrew Ullmer. Todd Novak was USB’s representative. The PUC officials receiving the communications in these meetings were, in order: (1) Commission President Bilas and advisor Dorothy Duda (meeting conducted 3/22/99), (2) Commissioner Neeper and advisor David Gamson (meeting conducted 3/23/99), and (3) Commissioner Duque and advisor Michelle Cooke (meeting conducted 3/23/99). Written handouts were provided in meetings (1) and (3) but not meeting (2). ORA/USB recommended the proposed decision (“PD”) in A94-12-005/I95-02-015 be adopted. It was noted the PD reflects the PG&E/ORA/USB agreement to cancel an internal design guideline, e.g. Note 7 of Construction Drawing 015203. A rulemaking proceeding was recommended to address the safety factor for Grade A wood utility poles. In the interim, the PUC officials were told a safety factor of 4.00 should be applied to these poles. The aforesaid agreement was the result of extensive discovery, ORA/USB said, and was consistent with the practices of other electric utilities in California. But R95-04-043/I95- 04-044 was not the proper forum for addressing the safety factor, the officials were told, because all interested parties to the issue were not participants and, moreover, USB’s position has been misconstrued in the current proceeding. The meeting was concluded with the ORA/USB statement that the 4.00 safety factor was consistent with the National Electrical Safety Code. The written handouts consisted of a 2/22/99 letter from the Director, Consumer Services Division to ALJ Pulsifer (recommending a 4.0 safety factor and the commencement of OIR/OII on that matter), and the eighteen (18) page PG&E/ORA/USB agreement (supra) and its two attachments. Summary: On March 22, 1999 Sempra Energy (“Sempra”) initiated consecutive meetings at CPUC with Commission officials in which oral ex parte communications were conveyed. In the first meeting, Sempra’s Claudine Swartz, Kimberly Freeman, and William Reed met with Commission President Bilas and advisor Dorothy Duda. In the second meeting Ms Swartz met with Michelle Cooke, advisor to Commissioner Duque. With one exception, the communications were the same in each meeting. Sempra stated it was inappropriate for PUC to open a proceeding to consider placing financial conditions on holding companies. Proposals in the draft decision (“DD”) to that effect could inhibit Sempra’s ability to execute strategic and financial plans, Sempra stated, because the uncertainty caused by the DD could cause a market reaction and negative financial impact on Sempra. No compelling circumstance prompted such an investigation, Sempra stated, and moreover there are existing avenues to entertain complaints regarding the relationship between the utility and its holding company. Sempra added that the Commission required a balanced capital structure be maintained for the utility when they considered SDG&E’s holding company application. In the first meeting, Mr. Reed urged Commission President Bilas not to suggest a policy that would prevent California companies from pursuing growth opportunities in out of state investments. Summary: On March 25, 1999, Sempra Energy’s Kimberly Freeman wrote a letter to Dorothy Duda, advisor to Commission President Bilas. Citing the “all party” meeting on 3/22/99, Ms Freeman stated her letter rebutted Mr. Marcus’ of UCAN’s assertion that Dr. Lowry’s national productivity study is inappropriate for SDG&E’s PBR due to customers/sales. She attached to her letter exhibits “87” and “97” dated 7/31/98 and 9/18/98 respectively. The former was entitled “M. Lowry Rebuttal, Section 3 (pp.10-12).” The latter was identified as “Additional Rebuttal to W.
