Attached are the revised VEE rules and appendices.  Changes since the last
revision are marked as changes in Word.  Both Word and RTF versions are
included.  This version is marked as 1.4, Draft 2, dated 4/13/98.  This version
will be the basis for the upcoming conference call 4/20.

NOTE: THESE CHANGES ARE FOR DISCUSSION AND RECOMMENDATION ONLY.  NONE OF THESE
CHANGES APPLY AT THIS TIME.  VERSION 1.3 PUBLISHED IN DECEMBER ARE THE VALID
RULES FOR THE MARKET TODAY.
