Acceptance Process/Conerence Call

MDMAs,

Attached are two documents. The first covers the MDMA/MRSP
PROCESS/PERFORMANCE STANDARDS. The second covers QUALIFICATIONS, primarily
training. We already have a third document, the ACCEPTANCE TEST (e-mailed
last Friday), and PG&E is developing the fourth, the MDMA/MRSP-UDC SERVICE
AGREEMENT. The four will make possible MDMA acceptance.

In our conference call tomorrow, we will focus on the PROCESS/PERFORMANCE
STANDARDS and QUALIFICATIONS documents. We will need to schedule another
call to continue the discussions.
